1. Agreement
These Terms of Service govern the services provided by ReachAlly, an independent business operating from the Philippines.
By accepting a proposal, paying an invoice, authorizing work to begin, or otherwise engaging ReachAlly, the client agrees to these Terms.
If you engage ReachAlly on behalf of a company, you confirm that you have authority to do so.
2. About ReachAlly
ReachAlly is a managed B2B outreach service.
We help businesses identify prospects, start conversations, qualify opportunities, and book meetings through LinkedIn and related outbound channels.
ReachAlly may provide:
- Ideal Customer Profile development
- Prospect research
- Lead targeting
- LinkedIn outreach
- AI-assisted personalization
- Connection requests
- Follow-ups
- Reply management
- Conversation management
- Lead qualification
- Appointment setting
- Campaign optimization
- Campaign reporting
- Campaign Manager support
Clients are purchasing a managed service performed by ReachAlly, not access to outreach software.
3. Service Engagement
Each client engagement may be defined through a:
- Proposal
- Service agreement
- Scope of work
- Invoice
- Email agreement
- Written campaign brief
The applicable document may specify:
- Number of LinkedIn profiles managed
- Service fee
- Campaign scope
- Target market
- Start date
- Service period
- Deliverables
- Payment terms
- Any additional services
If a client-specific written agreement conflicts with these general Terms, the client-specific agreement will control for that particular matter.
4. Managed LinkedIn Profiles
ReachAlly may price its service according to the number of LinkedIn profiles being managed.
A "seat" refers to one LinkedIn profile managed by ReachAlly as part of the client's outreach campaign.
The term "seat" is used only for pricing and service capacity.
It does not represent a software license or software subscription.
For example:
1 seat means ReachAlly manages outreach through one LinkedIn profile.
3 seats means ReachAlly manages outreach through three LinkedIn profiles.
Every seat receives the same core managed outreach service unless otherwise stated.
5. Service Fees
ReachAlly's standard pricing may be based on the number of managed profiles.
Current pricing may include:

Custom pricing may apply for larger engagements or additional services.
Pricing displayed on the website may change from time to time.
The price stated in an accepted proposal or invoice controls the applicable engagement.
6. Monthly Service Arrangements
ReachAlly may provide services on an ongoing monthly basis.
A monthly arrangement represents a recurring service engagement, not a software subscription.
Each monthly service period covers the campaign management and services ReachAlly agrees to provide during that period.
The client is paying ReachAlly to perform services, including campaign management, prospecting, outreach, conversation management, and meeting booking.
7. Renewal of Ongoing Services
Unless otherwise agreed, an ongoing monthly service relationship may continue from month to month until either party ends the engagement.
If automatic recurring billing is used, it will be disclosed to the client before payment authorization.
If recurring billing is not authorized, ReachAlly may issue a new invoice for each service period.
Clients are not required to purchase software access to continue using ReachAlly.
8. Starting a Campaign
Campaign work begins after ReachAlly has received the information and access reasonably required to provide the service.
This may include:
- Payment
- Approved proposal
- LinkedIn account access
- Target customer information
- Client offer
- Calendar link
- Sales information
- Campaign preferences
Delays caused by missing client information may delay the campaign launch.
9. Client Responsibilities
Clients agree to provide accurate information about:
- Their company
- Products and services
- Target audience
- Pricing
- Offers
- Qualification requirements
- Sales process
- Claims used in outreach
Clients must not ask ReachAlly to send false, deceptive, fraudulent, discriminatory, or unlawful communications.
The client remains responsible for the accuracy of claims made about its own products or services.
11. Account Access
Clients must have authority to provide ReachAlly access to any LinkedIn profile, calendar, CRM, email system, or other account used for service delivery.
ReachAlly will use such access only as reasonably necessary to provide the agreed services.
Where possible, secure delegated access or approved integrations should be used instead of unnecessary credential sharing.
12. Campaign Managers
ReachAlly may assign a Campaign Manager to manage the client's campaign.
Campaign Managers may handle:
- Campaign strategy
- Prospect targeting
- Lead quality
- Messaging
- AI-generated drafts
- Follow-ups
- Replies
- Conversation management
- Lead qualification
- Appointment setting
- Campaign optimization
- Reporting
ReachAlly may change the assigned Campaign Manager when reasonably necessary.
13. AI-Assisted Services
ReachAlly may use artificial intelligence to assist with:
- Prospect research
- Personalization
- Message drafting
- Relevant question generation
- Follow-up drafting
- Response analysis
- Lead classification
- Campaign analysis
ReachAlly combines AI with human oversight.
Campaign Managers may review, edit, approve, reject, or replace AI-assisted content.

14. Conversation Management
Where included in the engagement, ReachAlly may manage conversations with prospects until they reach an appropriate sales stage.
ReachAlly may:
- Answer basic questions
- Qualify interest
- Ask business-related questions
- Handle objections within approved boundaries
- Share approved information
- Offer a meeting
- Book an appointment
ReachAlly will not enter into contracts, negotiate final commercial agreements, guarantee pricing, or legally bind the client unless specifically authorized in writing.
15. Appointment Setting
ReachAlly may book meetings directly into a client's calendar.
A booked meeting means a prospect agreed to a meeting or scheduling action.
A booked meeting does not guarantee:
- Attendance
- Purchase intent
- Revenue
- A signed contract
- A closed sale
Prospects may cancel, reschedule, fail to attend, or decide not to proceed.
16. No Guarantee of Results
ReachAlly provides outreach and campaign management services but does not guarantee specific commercial results.
ReachAlly does not guarantee:
- Connection acceptance rates
- Response rates
- Number of leads
- Number of meetings
- Meeting attendance
- Sales
- Revenue
- Return on investment
- Closed customers
Performance can depend on factors including the client's offer, market, reputation, pricing, competition, sales process, profile credibility, and demand.
17. Payment
Unless otherwise stated in writing, ReachAlly's service fees are payable in advance for the applicable service period.
Invoices may be issued monthly or according to another agreed schedule.
Work may be paused if payment becomes overdue.
If payment remains outstanding, ReachAlly may suspend or end the engagement.
18. Cancellation
For ongoing monthly services, either party may end the engagement before the beginning of the next service period unless a separate agreement establishes another notice requirement.
Cancellation stops future service periods.
Cancellation does not automatically create a refund for work already performed or for a service period that has already begun.
19. Refunds
Because ReachAlly provides labor, campaign management, research, technology usage, and ongoing outreach services, fees for a service period that has already started are generally non-refundable.
ReachAlly may provide a refund, service credit, or extension when:
- Required by applicable law
- ReachAlly failed to provide a material portion of the agreed service
- ReachAlly agrees to do so in writing
Nothing in these Terms removes rights that cannot legally be waived.
20. Third-Party Platforms
ReachAlly may use third-party services to provide its services.
These may include:
- Campaign management software
- AI providers
- CRM systems
- Data providers
- Calendars
- Email systems
- Cloud services
- Analytics tools
ReachAlly does not control these independent platforms.
Changes, outages, restrictions, suspensions, or policy changes made by third-party services may affect campaign delivery.
21. LinkedIn
ReachAlly is an independent company and is not LinkedIn.
ReachAlly is not affiliated with, endorsed by, sponsored by, or operated by LinkedIn unless explicitly stated.
LinkedIn determines its own:
- Rules
- Limits
- Features
- Account policies
- Enforcement decisions
ReachAlly may reduce, pause, or modify campaign activity if we believe continuing the campaign creates unreasonable account, compliance, or operational risk.
22. Platform Partners
ReachAlly may use technology supplied by independent Platform Partners.
Platform Partners provide technology that may help ReachAlly manage campaigns, automation, personalization, approvals, or analytics.
The client is purchasing ReachAlly's managed service.
The client is not purchasing software directly from ReachAlly unless a separate written agreement expressly says otherwise.
Platform Partners are not responsible for ReachAlly's client service obligations.
23. Confidentiality
ReachAlly and the client may exchange confidential business information.
Both parties agree to take reasonable steps to protect confidential information and use it only for legitimate purposes connected to the engagement.
Confidential information may include:
- Campaign strategy
- Prospect information
- Sales information
- Business plans
- Client lists
- Pricing
- Internal systems
- Private documents
- Non-public communications
24. Client Data
Clients retain ownership of their own business information, content, trademarks, and materials.
The client gives ReachAlly permission to use this information only as reasonably necessary to provide the agreed services.
ReachAlly's handling of personal information is further governed by the ReachAlly Privacy Policy.
25. Intellectual Property
ReachAlly retains ownership of its own:
- Brand
- Website
- Outreach methodologies
- Templates
- Processes
- Frameworks
- Internal documentation
- Operational systems
- Original materials
Clients retain ownership of their own intellectual property.
26. Testimonials and Case Studies
ReachAlly will not knowingly present a client as endorsing ReachAlly without appropriate permission.
Client names, logos, testimonials, quotes, or campaign results may be published only where appropriate authorization has been obtained.
27. Service Changes
ReachAlly may change the technology, internal processes, Campaign Managers, tools, or workflows used to provide its service.
Such changes may be made without client approval provided the agreed core service is not materially reduced.
28. Suspension or Refusal of Service
ReachAlly may refuse, pause, or discontinue work involving:
- Fraud
- Deceptive offers
- Illegal activity
- Harassment
- Spam abuse
- Unauthorized accounts
- Misleading claims
- Security risks
- Non-payment
- Violations of these Terms
- Activity that creates unreasonable legal or reputational risk
29. Termination
Either party may end an ongoing engagement according to the applicable service agreement or agreed notice terms.
ReachAlly may terminate an engagement immediately for serious misconduct, fraud, unlawful instructions, security risks, repeated non-payment, or material breach.
After termination, ReachAlly will stop providing the applicable services.
30. Independent Contractor Relationship
ReachAlly is an independent service provider.
ReachAlly's Campaign Managers, contractors, and other personnel remain under ReachAlly's management.
Nothing in the engagement creates an employer-employee relationship between the client and ReachAlly personnel.
Nothing creates a legal partnership, joint venture, franchise, or agency relationship except to the limited extent necessary for ReachAlly to perform expressly authorized outreach activities.
31. Liability
ReachAlly will perform its services using reasonable professional care.
However, ReachAlly cannot control:
- Prospect behavior
- LinkedIn decisions
- Third-party outages
- Market demand
- Client sales performance
- Prospect attendance
- Third-party technology
To the extent permitted under Philippine law, ReachAlly is not responsible for indirect or consequential losses resulting from circumstances outside its reasonable control.
Nothing in these Terms limits liability where Philippine law does not permit such limitation.
32. Privacy
ReachAlly processes personal information in accordance with the ReachAlly Privacy Policy and applicable Philippine data protection requirements.
ReachAlly is an independent business based in the Philippines.
Our privacy practices are primarily governed by the Philippine Data Privacy Act of 2012, its Implementing Rules and Regulations, and applicable National Privacy Commission requirements.
33. AI Policy
Use of AI within ReachAlly's services is also governed by the ReachAlly AI Policy.
AI assists with campaign delivery, but ReachAlly maintains human Campaign Manager oversight as part of its managed-service model.
34. Governing Law
These Terms are governed primarily by the laws of the Republic of the Philippines.
Where mandatory laws of another jurisdiction apply to a particular client or transaction, those laws may also apply to the extent legally required.
35. Disputes
If a dispute arises, ReachAlly and the client should first attempt to resolve it through good-faith communication.
A party should provide reasonable written details describing the issue and requested resolution.
If the matter cannot be resolved informally, either party may pursue remedies available under applicable Philippine law.
36. Changes to These Terms
ReachAlly may update these Terms as its services, business practices, technology, or legal obligations change.
The effective date will be updated whenever a new version is published.
Changes will not retroactively change the commercial terms of services already completed.
37. Entire Service Agreement
These Terms should be read together with the applicable:
- Proposal
- Invoice
- Scope of work
- Written client agreement
- Privacy Policy
- AI Policy
Together, these documents form the terms governing the ReachAlly service relationship.
